Lectures by native-speaker U.S. business lawyer; case studies; in-class discussions and presentations.

Inhalt/e

The financial crisis, the Hypo Bank in Austria, Bernie Madoff, and the earlier dramatic collapse of ENRON and WORLDCOM in the United States (and banking scandals, SIEMENS bribery, and PARMALAT in Italy) have focused world attention on how public corporations are governed, regulated and monitored. Over the last years, Europe and the United States reacted with new laws, new regulations, new initiatives and a new sense that investors in corporations need to be protected (even from themselves). This course will cover these developments, how corporate governance works, and how corporate "culture" contributes to the need for corporate "governance."

To create an appreciation and analytical framework for the problems facing stakeholders in public corporations (shareholders, directors, officers, and the public), particularly in light of the world wide financial and corporate crisis.
